Dividend

A dividend is a distribution of a company’s earnings or assets to its shareholders, usually in proportion to the shares they own. It may be paid in cash, shares, or other property.

Dividend declaration: A corporate action that formally establishes a dividend’s amount, record date, and payment date. The board’s declaration turns a proposed payout into a defined corporate obligation.
Cash dividend: A dividend paid to shareholders in cash. This is the standard payout form for companies distributing earnings.
Common stock: A class of corporate ownership that typically carries voting rights and a residual claim on company assets. Common shareholders are the usual recipients of ordinary corporate dividends.
Dividend tax: A tax imposed on income shareholders receive as dividends. Tax treatment affects the after-tax value of a dividend to its recipient.
Capital gains distribution: A regulated investment company’s distribution of realized net capital gains to its shareholders. It is a shareholder distribution arising from investment gains, not a corporate earnings dividend.
Ex-dividend date: The first trading day on which a share sale no longer carries entitlement to an upcoming dividend. It determines whether a buyer or seller receives the declared payment.
Stock dividend: A distribution of additional company shares to existing shareholders, usually proportional to their holdings. It increases shareholders’ share counts without directly paying out cash.
Preferred stock: A class of shares that commonly receives priority over common stock for dividends and liquidation proceeds. Its dividend rights often differ from, and rank ahead of, common shareholders’ rights.
Dividend clientele: The tendency for investors with similar tax or income preferences to favor companies with particular payout policies. Different dividend policies can attract distinct groups of shareholders.
Return of capital: A payment to shareholders that returns part of their invested capital rather than distributing earnings. It may resemble a dividend in cash while having a different source and tax treatment.
