Franchising

Franchising is a business arrangement in which a franchisor licenses another party to operate under its brand and business system, usually in exchange for fees and compliance with operating standards.

Franchise agreement: A contract setting the rights and obligations of a franchisor and franchisee. It defines the licensed territory, fees, standards, and duration of a franchise relationship.
Franchisor: A party that grants another party the right to operate a business using its brand and system. The franchisor supplies the brand, methods, and ongoing support in this arrangement.
Fast-food restaurant: A restaurant serving quickly prepared food, often through counter service or drive-through sales. Fast-food chains have used franchising to expand standardized outlets across many locations.
Business licensing: A contractual arrangement granting permission to use specified intellectual property or other rights. Licensing can grant brand use without the extensive operating system typical of franchising.
Agency law: The body of law governing relationships in which one party acts on another’s behalf. Franchise disputes can turn on whether the franchisor controls franchisee operations enough to create agency liability.
Franchise fee: An upfront payment made by a franchisee for the right to join a franchise system. It is a common entry payment, distinct from continuing royalties.
Franchisee: A party licensed to operate a business using a franchisor’s brand and system. The franchisee owns or operates the local business while following system requirements.
Hotel franchise: A hotel operated under a chain’s brand and standards through a franchise arrangement. Hotel owners can use a recognized brand and reservation system while retaining property ownership.
Business opportunity: A commercial offer to help someone start or operate a business, sometimes for an upfront payment. Business-opportunity schemes may provide less continuing control and brand integration than franchises.
Joint employer: A legal doctrine under which two entities may share responsibility as employers of the same workers. Franchisor control over workplace practices can raise questions about responsibility for franchisee employees.
